End User License Agreement

1. Agreement

This End User License Agreement ("Agreement") governs your use of the QuickBooks Online integration ("Integration") provided as part of FileEZ Folder ("Software"). By connecting a QuickBooks Online company file to the Software, or by using any Integration feature, you agree to this Agreement. If you do not agree, do not connect or use the Integration.

2. License Grant

Subject to this Agreement, you are granted a limited, non-exclusive, non-transferable, revocable license to use the Integration solely for your internal business operations in connection with the Software. You may not sublicense, sell, lease, or distribute the Integration or use it to build a competing product.

3. QuickBooks and Intuit

The Integration connects to QuickBooks Online through Intuit Inc. ("Intuit"). QuickBooks Online is a third-party service not owned or operated by FileEZ Folder. Your use of QuickBooks Online remains subject to Intuit's terms, policies, and applicable fees. Intuit is not a party to this Agreement and is not responsible for the Software or the Integration.

4. Data and Authorization

When you authorize the Integration, you grant the Software permission to access QuickBooks Online data needed to provide Integration features, such as inventory item information. You represent that you have authority to connect the selected QuickBooks company file and to permit this data access.

You are responsible for reviewing synced data, maintaining accurate records in both systems, and ensuring that your use complies with applicable laws and accounting requirements. The Integration may read data from QuickBooks Online and write data in the future if additional features are enabled.

5. Acceptable Use

You agree not to:

• Use the Integration in violation of law or third-party rights
• Attempt to bypass security, rate limits, or authorization controls
• Reverse engineer or interfere with the Integration except where permitted by law
• Share OAuth credentials or access tokens with unauthorized parties

6. Disclaimers

THE INTEGRATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE INTEGRATION WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DATA SYNCHRONIZED FROM QUICKBOOKS ONLINE WILL BE COMPLETE OR ACCURATE.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER FILEEZ FOLDER NOR ITS OPERATORS SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION ARISING FROM YOUR USE OF THE INTEGRATION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE INTEGRATION SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (US $100) IF NO FEES WERE PAID.

8. Termination

You may stop using the Integration at any time by disconnecting QuickBooks Online within the Software. We may suspend or discontinue the Integration at any time. Upon disconnection or termination, OAuth tokens stored for the Integration will be removed according to the Software's disconnect process.

9. Changes

We may update this Agreement from time to time. The "Last updated" date above indicates when this Agreement was last revised. Continued use of the Integration after changes become effective constitutes acceptance of the revised Agreement.
